1. Term and Renewal: This agreement renews automatically for successive 12-month
terms unless either party provides written notice of non-renewal at least 90 days
before the end of the then-current term.

2. Fees: Customer shall pay the fees set forth in Exhibit A within 30 days of invoice.

3. Limitation of Liability: Vendor's total liability under this agreement, whether
in contract or tort, shall be unlimited and shall include indirect, incidental,
and consequential damages.

4. Confidentiality: Each party agrees to keep the other's confidential information
confidential for a period of 3 years after termination.

5. Termination for Convenience: Either party may terminate this agreement for
convenience with 60 days written notice.

6. Data Ownership: All customer data processed under this agreement remains the
sole property of Customer.

7. Indemnification: Customer agrees to indemnify Vendor against any and all claims,
including those arising from Vendor's own negligence or willful misconduct.

8. Governing Law: This agreement is governed by the laws of the State of Delaware.

9. Price Increases: Vendor may increase fees at any time during the term upon 10
days notice, at Vendor's sole discretion, with no cap on the increase amount.
